Ms. Tang Yiyun advises international and Chinese corporations as lead advisor on a diverse range of matters including debt restructuring, reorganization and M&As, major assets restructuring, bond financing, cross-border M&As, overseas investment, and strategic alliances.
Ms. Tang has many years of experience in advising on major debt restructuring, reorganization and M&As, and major assets restructuring in port and shipping, energy, mining, healthcare and other industries. Ms. Tang's representative transactions include: judicial reorganization of entities affiliated to Dandong Port, the RMB58.9 billion capital increase and debt-for-equity exchange of Yingkou Port Group Corp., the reorganization and acquisition of Liaoning Port Group by China Merchants Group, China Merchants Group's capital increase to Zhanjiang Port (Group) Co. , Ltd ("Zhanjiang Port"), 'Holdings (International) Co., Ltd.'s participation in the system restructuring of Zhanjiang Port, Shipping Terminal Development Co., Ltd.'s acquisition of a Belgian port company, and acquisitions of oil fields in central Asia and investment in mining projects in South America, Australia and Russia by several energy and mineral resources investment companies, and domestic and overseas investment transactions by Sinopharm Group Co., Ltd.
With over ten years of experience in various types of cross-border investments (representing both sellers and buyers), Ms. Tang provides all-round legal services to clients actively engaged in overseas (including the U.K., Central and Western Europe and Asia) and domestic investment projects, including comprehensive offshore due diligence, deal structuring, documentation, regulatory approval procedures and closing, and organizing clients, offshore targets and sellers, local legal teams and other involved advisors to communicate with one another. Representative transactions she advised on include Ping An Overseas Holdings' sale of Yihaodian to Wal-Mart Stores, Inc. and the acquisition of Fullerton Guarantee from Temasek Holdings, Shanghai Jin Jiang International Hotels Development Co., Ltd.'s US$1.3 billion acquisition of Plateno Group (including 7 Days Inn and other overseas and domestic brand hotels), and Volvo's acquisition of a Chinese motor company.
Ms. Tang has a wealth of experience in advising insurers and financial institutions on cross-border financing, M&As, compliance, corporate governance, domestic and overseas investments using insurance fund, etc. The representative transactions include China Pacific Insurance (Group) Co. Ltd.'s issuance of GDRs on London Stock Exchange, Carlyle's RMB3.3 billion investment in China Pacific Life, Carlyle and Dah Sing Bank's acquisition of Chongqing Commercial Bank, Fosun International Limited's acquisition of overseas insurance companies and financial institutions, the establishment of - life insurance joint venture by New York Life Insurance Company and Qingdao Haier Investment and Development Company, Citibank's strategic cooperation with Shanghai Pudong Development Bank. In addition, Ms. Tang also advises insurance asset management companies on investments using insurance fund, reviews and advises on insurance policies and compliance.
In terms of bond financing, Ms. Tang has advised many companies on various bond financing projects, including the issuance of medium-term notes and short-term financing notes. In the fields of investment by both domestic and overseas private equity funds, Ms. Tang has advised a great number of private equity funds, venture capital institutions and invested companies on transactions such as the US$485 million Series A financing of Shanghai Lujiazui International Financial Asset Exchange Co., Ltd., Sequoia Capital's investment in Series B financing of EOC Pharma as well as establishment of an M&A fund in Europe.
Over the years, Ms. Tang has not only devoted herself to her legal practice, but has also been invited as keynote speaker in a range of activities such as forums, seminars, training programs and workshops on M&A and restructuring as well as compliance of state-owned enterprises. Ms. Tang has also actively participated in the professional activities for existing and new clients and those organized by related organizations, including local Association of Corporate Counsel. She has a wide reputation among clients and is regarded as a trustworthy advisor.
Work experience
Ms. Tang rejoined King & Wood Mallesons (KWM) in 2017. She served as an in-house compliance counsel at the Shanghai Branch of Tokio Marine & Nichido Fire Insurance Co., Ltd. before she practiced at KWM from 2002 to 2005. Later on, she worked at Linklaters, Morrison & Foerster and DLA Piper from 2005 to 2017.
Ms. Tang received her LL.B. from East China University of Political Science and Law in 2001.
She was qualified to practice law in China in 2002, and is also qualified to practice law in England and Wales.
Her working languages are Chinese and English.
