Emma Newnham specialises in corporate governance, private and public M&A including equity capital markets. She has advised on a number of high profile transactions across a range of industries. Two secondments mean she also understands what it’s like for in-house counsel, and the importance of understanding a client’s business.

Emma is part of KWM’s Climate & ESG team, specialising in governance and reporting.

Her experience includes:

  • Governance and reporting: Advising listed and unlisted companies on their governance and reporting (including environmental and social governance and reporting), for example directors’ duties, reporting requirements, regulatory considerations, greenwashing and other litigation risk, Financial Accountability Regime implementation, Annual General Meetings and employee equity arrangements
  • Telstra: Advising on its $42 billion corporate restructure and ‘top hat’ by scheme of arrangement
  • SEEK: Establishing the $1.2 billion SEEK Growth Fund and seeding of it with SEEK’s holdings in a number of early stage ventures
  • Transurban: Advising on a number of its equity capital raisings since 2015, including its $4.2b capital raising for WestConnex
  • Touchcorp: Advising on its merger with Afterpay by dual inter-conditional schemes of arrangement
  • NAB: Advising on its demerger of Clydesdale Bank in the UK and related A$5.5b rights offer to shareholders
