Song Yue specializes in advising issuers and underwriters on transactions across the international debt capital market space, with extensive experience in investment-grade and high-yield offerings, as well as liability management exercises and debt restructurings. A number of Song's transactions have been shortlisted for debt and equity-linked or high-yield "Deal of the Year" awards. He has been recognised as a “Next Generation Partner” in Debt Capital Markets by Legal 500 Asia Pacific. Song co-authored Thomson Reuters Practical Law’s guide to debt capital markets in Hong Kong.

Song received his Juris Doctor degree from Harvard Law School and undergraduate degree from the University of Toronto. Prior to joining the firm, Song practiced at the Hong Kong office of another major international law firm.

Work highlights include:

  • advising China CITIC Bank International Limited in connection with its offering of subordinated notes, which constituted Tier 2 capital under the Banking (Capital) Rules in Hong Kong SAR;
  • advising Huatai Securities Co. Ltd. on the establishment of its MTN programme and debt offerings under the programme;
  • advising the joint lead managers on Shanghai Free-trade Zone debt (Pearl bond) offerings by Ping An International Financial Leasing Co Ltd;
  • advising the dealers on the MTN programme establishment of CMB International Capital Corporation Limited and debt offerings under the programme;
  • advising the joint lead managers on debt offerings by S.F. Holding Co., Ltd.;
  • advising AAC Technologies Holdings Inc. on its US-eligible tender offers of debt securities;
  • advising the joint lead managers on debt offerings by Beijing Gas Group Co., Ltd.;
  • advising the joint lead managers and joint dealer managers on high-yield debt offerings and liability management exercises by China Grand Automotive Services Group Co., Ltd.;
  • advising on debt issuances by a large number of local government financing vehicles (LGFVs) across China;
  • advising several Chinese real estate companies on their international debt restructurings;
  • advising the underwriters on SEC-registered debt offerings by the Republic of Korea*;
  • advising China Three Gorges on its debt offerings*;
  • advising the dealers on debt offerings by State Grid Corporation of China under an MTN programme*;
  • advising Bank of China on its additional tier-1 capital offshore preference share offerings*; 
  • advising China Life Insurance Company Limited on its core tier-2 capital debt offerings*; and
  • advising WTT, a portfolio company of two private equity sponsors, on its debut sponsor-style high-yield debt offering*.
