Jeremy specialises in restructuring and insolvency with a particular focus on debt restructuring and recapitalisations, informal workouts and distressed lending and M&A. Jeremy also has experience advising on the ‘front-end’ in relation to non-distressed investments and disposals and refinancings. He advises large and ASX-listed corporates and boards, major Australian and international banks, private credit and equity firms and insolvency practitioners.

Restructuring matters

  • New Wilkie Energy: advising the secured lenders and receivers and managers on the complex debt restructure, sale and recapitalisation of the company
  • Tiger Resources: advising the company on its complex cross-border restructuring completed through an Australian creditors' scheme of arrangement, which was approved despite being contested by a minority secured creditor. It created precedent as the first ‘guarantor’ scheme approved in Australia, which clarified the broad scope of creditors’ schemes of arrangement to restructure across borders 
  • Speedcast: advising the TLB and RCF lenders owed more than US$700m on the complex cross-border Chapter 11 proceeding in respect of various Speedcast group members including the Australian incorporated companies
  • Heron Resources: advising the company on its capital raising and recapitalisation negotiations which were ultimately achieved through a controlled administration and deed of company arrangement, and subsequently advising the administrators and deed administrators on the administration and subsequent sale of the group pursuant to s444GA of the Corporations Act
  • RCR Tomlinson: advising the administrators and liquidators on the external administration of one of Australia’s largest engineering groups, including landmark NSWSC directions proceedings which clarified the characterisation of assets as circulating or non-circulating
  • Griffin Coal: advising the company on its restructuring options including with respect to its over US$1b finance debt
  • Sara Lee: advising the administrators on various aspects of the administration of the frozen desserts group
  • Privium: advising the secured creditor on its exposure to the collapse of one of the largest residential building groups in Queensland

Front-end matters

  • Star Entertainment: advising the company on various regulatory issues in connection with its debt financing
  • Firmus Technologies: advising the secured lender on its investment in the data centre developer and operator
  • Next Athleisure: advising the company on the sale of its businesses including Glue Store to the Accent Group
  • Steinhoff/Greenlit Brands: advising the incoming syndicate of lenders on their refinance of the secured debt of the homewares retailer
