Areas of practice

Han Jie specialises in strategic restructuring for enterprise groups, M&A and restructuring of listed companies, group debt restructuring/reorganisation, comprehensive resolutions for distressed companies, and special situation investment. Mr. Han also focuses on advising clients in mineral resources, energy and chemicals, steel, new energy and other sectors.

With years of experience, Mr. Han has worked on projects on strategic restructuring and specialised integration of many extra-large enterprises and enterprise groups, M&A and restructuring of listed companies, onshore/offshore initial public offerings, group debt restructuring/bankruptcy reorganisation, and special situation investment. He advises on overall investigation and diagnosis, formulation of overall solutions, project implementation and planning, organisation and implementation of due diligence, transaction structuring, negotiations and consultation, preparation of transaction documents, general legal advice, closing as well as post-M&A or post-reorganisation risk dissolution and asset business integration.

Mr. Han has extensive experience in advising on M&A and restructuring of large state-owned enterprises in the mineral resources, energy, and chemical industries. He has represented acquirers and/or sellers in dozens of M&A and restructuring deals of large group companies in these sectors, including a number of overseas M&A transactions.

Mr. Han has been winner of awards from “The Asian Lawyer”, “The American Lawyer”, China Law & Practice, “Legal Week” and China Mergers and Acquisitions Association, including Finance Deal of the Year: Acquisitions and Best M&A Lawyer awards.

Work experience

Mr. Han joined King & Wood Mallesons in 2008.

Mr. Han obtained his LL.B from Dalian Maritime University and LL.M from University of International Business and Economics.

Mr. Han  is admitted as a PRC lawyer.

His working languages are Chinese and English.
