Mr. Guo Liang is a partner in the securities and capital market practice of KWM Beijing office and specializes in the area of securities and company law. He has rich experience in restructuring and reorganization, share public offerings and equity private placements, onshore and offshore note offerings, cross-border investments, M&A and regulatory compliance.
Mr. Guo represented several clients on the pre-IPO restructuring and reorganization, equity and assets acquisitions, the establishment of employee stock incentive plans, IPOs on the foreign stock exchanges and incorporation of Sino-foreign joint venture securities firms. Mr. Guo provided legal services to many significant transactions in the securities and capital market, including A-Share IPO by Beijing-Shanghai High Speed Railway Co., Ltd., China Tower H-share IPO, China Resources Pharma IPO on the Hong Kong Stock Exchange, China Railway Signal & Communication H-share IPO, Lone Star Funds' takeover of Sino Gas & Energy Holdings Limited by way of scheme arrangement, Weifu High Technology Group's investment in Protean, Sinotrans Shipping Limited's connected-party acquisition of equities in subsidiaries of Sinotrans Limited, AAG Energy Limited's Hong Kong Stock Exchange IPO and etc.
Mr. Guo also represented numbers of state-owned and non-state-owned clients in their onshore and offshore note offerings and advised recognized private equity funds in their investment transactions.
Mr. Guo's deal experience extends across a wide variety of industry sectors, including telecommunication infrastructure, electric power, non-conventional energy, pharmaceuticals and pharmaceuticals commercials, automotive component manufacturing, shipping, railways transportation, catering, lease financing, securities, high technology and etc.
Mr. Guo serves as legal counsel for several listed companies and non-listed companies (including state-owned conglomerates, non-state-owned companies and foreign invested enterprises), providing legal services for their daily operations and businesses.
Work Experience
Mr. Guo joined King & Wood Mallesons in 2011.
Mr. Guo obtained his LL.B degree in International Laws from Northwestern University of Political Science and Law, an LL.M degree in Corporate and Financial Law from University of Hong Kong and an LL.M degree in International Economic and Business Law from Kyushu University with Japanese Government (MONBUKAGAKUSHO:MEXT) scholarship.
Mr. Guo has been admitted to practice laws in the PRC. His working languages are Mandarin (native), Cantonese (native) and English (fluent).
