Angus Sip is a Partner in the Banking & Finance group of King & Wood Mallesons in Hong Kong, where he specialises in structured finance and derivatives.

Angus advises issuers, arrangers, sell-side clients (including global, PRC-based and local financial institutions) and buy-side clients (including QDIIs, banks, funds and SOEs) on a broad range of structured finance and derivatives matters, including:

  • establishment of unsecured structured notes programmes and limited recourse secured notes programmes using off-balance sheet orphan structure
  • structuring of bespoke structured notes or repackaged transactions across different asset classes
  • vanilla private placement debt issues with bespoke and cross-border security package
  • liability management and restructuring work for repack notes and private debt issues
  • establishment of, update and issues under asset-backed MTN and vanilla MTN programmes and CD programmes
  • securitisation with innovative structures
  • complex corporate derivatives matters and equity, rates, FX, commodity and credit derivatives
  • derivative and securities financing master, credit support and trade documentation including ISDA, GMRA and GMSLA

On the retail structured products front, he has acted for numerous active issuers in the market, advising them on the establishment and update of HKEX-listed structured products programmes and SFC-authorised unlisted equity-linked investment programmes, as well as the development of “first-ever” products launched in the Hong Kong retail market, such as the recent inline warrants and derivative warrants linked to MSCI China A50 Connect Index listed on the HKEX and the first SFC-authorised unlisted equity linked investments over US listed stocks. He also has extensive experience in advising product manufacturers and distributors on the client-facing disclosure documents for structured products across various asset classes (such as equities, bonds, credit and commodities) with different payoff features and risk profile.

Angus is recognised as a leading lawyer by Chambers and IFLR1000. He is qualified in Hong Kong and England & Wales and speaks and writes English, Cantonese and Mandarin.
