Andrew Fei has over a decade of experience in the areas of structured finance, derivatives, syndicated loans, financial regulation, fintech, digital assets, capital markets and securitisation.

Andrew has advised many major financial institutions, corporates and fintech companies on a wide range of innovative structured finance transactions, cross-border derivatives transactions, close-out netting and collateral arrangements, syndicated financing transactions, Basel III regulatory capital instruments, securities financing transactions, financial regulatory matters as well as digital assets-related transactions and arrangements.

Andrew was named “Rising Star Partner” in Capital markets: Structured finance and securitisation by IFLR1000 in 2023 and “Leading Lawyer” in Capital Markets: Securitisation & Derivatives by Chambers Greater China Region Guide in 2024.

Recent representative matters that Andrew has worked on include:

  • China netting and collateral opinions for the International Swaps and Derivatives Association (ISDA)
  • Industry comment letters and submissions, including in response to the HKMA’s Basel III consultation, the CSRC’s derivatives trading administrative measures and the PRC Financial Stability Law
  • Advising major financial institution and corporate clients on carbon, ESG and sustainability-linked syndicated loans, derivatives and structured products
  • Negotiating ISDA Schedules, CSAs, VM and IM documentation, NAFMII documentation, GMRA Annexes and GMSLA Schedules
  • Advising clients on regulatory margin and other derivatives regulatory matters
  • Advising major global financial institutions on innovative cross-border asset-based financing and securitisation transactions
  • Advising on bespoke cross-border equity, credit, FX, interest rate, commodity, digital assets and fund derivatives
  • Advising on hedging arrangements for syndicated loan transactions
  • Advising on tokenisation, custody and collateral arrangements involving digital assets
  • Advising on FDIC deposit insurance and bank resolution-related matters

Andrew holds a master of laws degree from Harvard Law School and a double 1st class honours bachelor of laws degree from Cambridge University (where he ranked 2nd out of a class of 236 in the Part IB Law Tripos and received the Erskine Chambers Prize for the highest grade in company law).

In addition to his full-time legal practice, Andrew teaches banking law at the University of Hong Kong Faculty of Law.

Andrew is a native speaker of both Chinese Mandarin and English.
