Areas of Practice
As a well-renowned senior associate in the Chinese legal community, especially in South China, Mr. Yan Jun has practiced for nearly 30 years. He specializes in such areas as corporate restructuring, real estate, infrastructure, dispute resolution and litigation, and non-performing loans investment. He also has rich experience in projects related to environmental protection, medical treatment, health care, comprehensive new area / park development, as well as financing, M&A, development and construction related to such projects.
Mr. Yan has participated in hundreds of key projects and provided legal services to a large number of Chinese or world-renowned enterprises, Chinese governments at all levels and other institutions. As a specially recruited specialist at the World Bank, the Asian Development Bank, the National Development Bank, the Ministry of Finance, the Ministry of Water Resources, as well as the local governments of Shenzhen, Guangzhou, Foshan, Zhuhai, and Changsha, he participated in project consultation and review, project research, training and giving speeches. He is one of the evaluation experts of the Review Committee of the Ministry of Finance on the third batch of national PPP (public-private partnerships) demonstration projects and one of the first batch of specially invited experts in the PPP expert pool of the Ministry of finance.
Mr. Yan has been deeply involved in many important cross-regional cooperation projects in the Greater Bay Area, including:

Qianhai Shenzhen-Hong Kong Modern Service Industry Cooperation Zone (serving as the legal advisor of Qianhai Administration);

Research on the development model of the Shenzhen-Hong Kong Cooperation Lok Ma Chau River Loop (Shenzhen-Hong Kong Technology Innovation Cooperation Zone) and other subjects, and

Serving as the special legal counsel on the agreements by the Hong Kong, Zhuhai and Macau governments on the Hong Kong-Zhuhai-Macau Bridge, formation of project entities, syndicated project financing and traffic policy of the Bridge, etc.

Mr. Yan has been deeply involved in the legal affairs at all stages of China's real estate market since 1993. He has extensive experience in real estate development, first-level land development, urban renewal, mergers and acquisitions, restructuring and private placement of real estate projects, commercial real estate investment and operation, domestic and overseas listing of real estate companies, issuance of REITs, establishment and issuance of real estate funds, and resolution of disputes in cooperative development. He provided legal services for R&F Properties, Agile, Everbright Real Estate, CNPC, Hong Kong New World Development, Lai Sun Group, Chuang's Consortium, SEA Group, Hong Kong Soundwill Holdings Limited, etc.
Mr. Yan has been deeply involved in the market-oriented reform of China's municipal utilities and infrastructure since 2002 and the government and Public-Private Partnership (PPP) since 2014. He provided legal services for over 100 such projects, including:

Mr. Yan has worked on many medical and healthcare projects, including Meixihu International Medical and Health Industry City Project, Guangzhou Sino-Singapore Knowledge City GE Biomedical Industry Base Project, Guangzhou Kangjian Gene and Kanghua Medical Testing Laboratory Joint Venture Project, and Wanfu Biology's investment projects in Shaanxi and Sichuan.
In corporate restructuring, the representative projects Mr. Yan has participated in include the custody of Xinjiang Delong and its affiliates by China Huarong Asset Management Co., Ltd., the restructuring of Guangdong Kelon Electrical Holdings Co. Ltd, the reorganization and subsequent bankruptcy reorganization of Xintai Technology, the suspension and rectification of Guangdong National Trust Co., Ltd. and its subsidiary, Shenzhen Securities Business Department.
In dispute resolution and litigation, Mr. Yan has made plans for and represented many major litigation and arbitration cases in relation to real estate and construction projects, infrastructure PPPs, water and environmental protection investments and M&As, competition for corporate control, and international settlements, foreign investment. Typical cases include Hubei Pinghu Cruise Co., Ltd. v. United States Robinson Helicopter Co., Ltd., a product liability dispute case, in which a Chinese court decision was recognized and enforced in the United States.
Work Experience
Mr. Yan Jun first joined King & Wood Mallesons (KWM) in 2001. Then he left and founded the Guangzhou and Changsha offices of JunZeJun Law Firm, and rejoined KWM in 2018. Prior to 2001, Mr. Yan had worked as a founding partner of Guangdong Century Chinese Law Firm. He had also worked as the legal counsel in the Industrial and Commercial Bank of China Shenzhen Branch.
Mr. Yan graduated from Xiangtan University with a bachelor's degree in law, and a Master's degree in International Law from Jilin University.
Mr. Yan Jun was qualified to practice law in China in 1990 and started to practice in 1992.
