Ruth's practice covers a broad range of corporate transactions involving corporate financing, M&A, takeovers and non-contentious regulatory compliance.

Ruth regularly assists domestic and international clients on Hong Kong listing matters and M&A transactions. She has extensive experience in private and public takeovers, IPOs, corporate reorganisations and privatisations and Hong Kong securities regulations.

Ruth graduated from the University of Manchester in 2005 and received her LL.M. from the London School of Economics and Political Science in 2006.

She is qualified to practice in Hong Kong and is fluent in English, Cantonese and Mandarin.

  • Huatai Financial Holdings (Hong Kong) Limited, as sole sponsor and global coordinator, in connection with the HK$580 million global offering and listing of Xinchengyue Holdings Limited on the Main Board of HKEx
  • Morgan Stanley and JP Morgan, as joint sponsors, in connection with the listing application of a company in Corporate Services sector on the Main Board of HKEx
  • UBS Securities Hong Kong, Citigroup Global Markets Asia and CITIC Securities Corporate Finance (HK), as joint sponsors and joint global coordinators, in connection with the US$764 million global offering and listing of Luye Pharma Group on the Main Board of HKEx
  • CICC, as sole sponsor, and CLSA, Jefferies, Haitong International and VMS Securities as joint bookrunners in connection with the HK$1.3 billion global offering and listing of Shanghai La Chapelle Fashion on the Main Board of HKEx
  • China Huarong Macau (HK) Investment Holdings on its subscription of HK$200 million convertible bonds issued by HongDa Financial Holding Limited, a company listed on the Main Board of HKEx
  • China Development Bank International Holdings, a subsidiary of state-owned China Development Bank, on its HK$1.4 billion subscription in China New Town Development (Stock Code: 1278)
  • Shunfeng Photovoltaic International (Stock Code: 1655), on its acquisition of Wuxi Suntech Power at a consideration of RMB3 billion and the related issue of convertible bonds in the principal amount of HK$3.5 billion
  • China Resources Power (Stock Code: 0836), a leading power company listed in Hong Kong, on its proposed HK$54 billion merger with China Resources Gas Group (Stock Code: 1193) of by way of scheme of arrangement

  • Lei Shing Hong, on its US$400 million acquisition of the Chinese Caterpillar dealership from Seven Group Holdings
