Ms. Ma Xiaoyun specializes in company financing mergers and acquisitions, private equity investment, cross-border investment mergers and acquisitions. Ms. Ma Xiaoyun has over 15 years of practical experience, solid professional skills and international experience.

In the field of corporate laws, Ms. Ma Xiaoyun has provided professional legal services in equity structure, internal governance, compliance management, equity incentive, investment and merger, financing straregy and other aspects for many multinational companies, listed companies and high-tech enterprises, including high-end intelligent manufacturing, telecommunication and semiconductor, new energy and new materials, health care and so on.

In the field of private equity investment, Ms. Ma Xiaoyun’s clients include well-known domestic and foreign sovereign acquisition funds, government parent funds, industrial investment funds, venture capital and venture capital funds, etc. Her services cover capital raising, investment process and internal control system construction, foreign investment and transaction documents, post-investment management and exit, etc.

In the field of mergers and acquisitions, Ms. Ma Xiaoyun has provided domestic and foreign mergers and acquisitions related legal services for many well-known listed companies and group companies, including investment transaction structure design, financing plan formulation, domestic and foreign approval, investment subject due diligence, transaction document negotiation, project closing and post-investment management, overseas assets liquidation and disposal, etc. In different projects, Ms. Ma Xiaoyun provides advice on business decisions based on professional legal advice for acquirers, target companies and major shareholders. She is good at planning and designing reasonable shareholding structure, financing scheme, arrangement of company control and post-investment management system according to clients' strategic objectives. Ms. Ma has also assisted a number of large Chinese companies in participating in major “Going Global” overseas investments, and served as general counsel of the National Development and Reform Commission’s Demonstration Park projects.

Ms. Ma Xiaoyun was engaged by several institutions, with years of solid professional skills and rich practical experience:

  • In 2014, Ms. Ma has been appointed as an arbitrator of China International Economic and Trade Arbitration Commission; A mediator of China Council for the Promotion of International Trade/China Chamber of International Commerce Mediation Center; Vice President of Jiangsu Chamber of International Commerce.
  • In 2015, she was selected as the leading talent for foreign-related affairs; 
  • In 2016, she was appointed as the globalization expert for companies in Jiangsu by Department of Commerce of Jiangsu Province; 
  • In 2017, she was selected as " Belt and Road" Cross-Border Lawyer Talents and participated in preparation of the Legal Environment Report of the "Belt and Road" Countries. 
  • In 2018, she was selected as one of the country's thousands of foreign-related lawyers; she was awarded the "Top 10 Foreign-Related Lawyers of Jiangsu" by the Department of Justice of Jiangsu Province, the Department of Commerce of Jiangsu Province, CCPIT Jiangsu Sub-council and the Jiangsu Bar Association.
  • In 2019, she was appointed as one of the first group of PPP experts by the Department of Finance of Jiangsu Province; she was selected as “The Belt and Road Initiative” Top 10 Lawyers.
  • In 2021, she was appointed as an arbitrator of China Maritime Arbitration Commission.
  • In 2022, she was awarded recommended partner attorney in Asia Pacific region by The Legal 500.

Work experience

Before joining King & Wood Mallesons, Ms. Ma served as a senior partner in a leading law firm in Jiangsu Province.

Ms. Ma graduated from the University of New South Wales and received her master's degree in corporate and business law in 2004.

Ms. Ma was admitted to practice law in the PRC in 2005.

Ms. Ma’s working languages are English and Chinese.
