Area of Practice
Helena Huang's current practice focuses on cross-border M&A transactions (including distressed M&A and PE investments), corporate restructurings, and onshore and offshore private equity fund formation.
Helena specializes in onshore and offshore private equity fund formation matters and the PE funds' downstream investment transactions. She has represented many Chinese and foreign fund sponsors and investors (including sovereign wealth funds, such as China Investment Corporation) in their formation of onshore and offshore PE funds and the investments by the PE funds. Helena has extensive experience in both onshore and offshore PE fund investment matters. She has also represented many PE funds, state-owned enterprises and non-SOEs in their worldwide investments and M&A transactions into various industries, including food, pharmaceutical, hospital, retail, real estate, e-commerce, education, media, mining, steel, energy, farming, and manufacturing, etc.
Helena is also very experienced in representing global conglomerates, private equity funds, and hedge funds in their global acquisitions and dispositions of distressed businesses and assets, and the restructuring of and recovery collection actions against underperforming portfolio companies. She has extensive experiences in representing large corporations and financial investors and institutions in the United States, Hong Kong SAR and China in connection with all aspects of complex reorganizations involving various industries, such as solar, airlines, power plants, finance, communications, forestry, outdoor equipment, real estate and education. The restructuring matters that Helena handles often involve a wide range of legal issues, e.g., corporate M&A, asset disposition, refinancing, re-listing, litigation, enforcement, and labor dispute, etc.
Helena is a frequent speaker at international conferences and seminars on cross-border investment and corporate restructuring issues, and onshore and offshore PE investment issues and has published many articles on such topics. She is regularly consulted by the Supreme People's Court of China, the People's Bank of China, the China Securities Regulatory Committee, the State Administration of Foreign Exchange of China, the State-Owned Assets Supervision and Administration Commission of China and various other governmental bodies and sovereign wealth funds on various PE and restructuring issues.
Helena has obtained her legal training in both the U.S. and China, and is one of few PE and restructuring experts who has obtained both Hong Kong and U.S. legal qualifications and a Chinese legal background. Helena has received the "Best in Insolvency & Restructuring" award at the Euromoney LMG Asia Women in Business Law Awards 2013.
Work Experience
Helena joined King & Wood Mallesons in April 2011, and before that she had practiced law for 15 years with leading U.S. law firms, including as a partner in a top U.S. law firm in its New York and Hong Kong offices since 2006.
Helena obtained her LL.B. degree from the University of International Business and Economics, Beijing, China in 1993, and her J.D. degree, with honors, from Villanova University School of Law, U.S.A. in 2000.
