Areas of Practice

Mr. Zhou Hao specializes in domestic and overseas listing, private equity investment, M&A and restructuring, and commercial investment, etc.

He has represented a large number of mega and large companies in such industries as finance, logistics, pharmaceutical and pharmaceutical business, and IT in corporate restructuring, domestic and overseas listing, IPOs, refinancing, and M&A transactions.

In terms of financial securities, Mr. Zhou, as a special legal counsel, has advised many state-owned enterprises, foreign-invested enterprises, and private enterprises on their restructuring into joint stock companies, IPOs and listings, and refinancing of listed companies. Some of his representative projects include:

  • Assisting East China Technology (000727) and Nanjing Panda (SH600775; HK00553) in the share split reform and restructuring; 

  • Assisting Keyuan (002380), Fengdong (002530), and Sega Technology (002796) in their IPOs and listings; 

  • Assisting Sinolife United (HK33332), and Holy Futures (HK03678) in their listings on the main board of HKEx; 

  • Assisting Nanjing Panda (SH600775; HK00553) and East China Technology (000727) in their non-public offerings, and major asset restructuring; 

  • Assisting Jiang'ao Optoelectronics, Lianchang Logistics, Grid Relays, Ancan, Tzone, Keqiang, Runshengtang, Kerun, Huali and other companies in listing their shares on the New Third Board.

In terms of M&A and restructuring, Mr. Zhou has represented a large number of companies in their M&A and restructuring, including Nanjing Fullshare Investment Group Co., Ltd., Nanjing Yuhua Economic and Technological Development Co., Ltd., Kohe Industrial Plant and Technology (Shanghai) Co., Ltd., and a livestock machinery manufacturing enterprise in Yangzhou.

In terms of bond issuance, Mr. Zhou's representative projects include: advising Nanjing Yuhua Economic and Technological Development Co., Ltd. on its issuance of 2017 private placement note,the first and second tranches of debt financing for 2017, and issuance of 2018 medium-term notes and non-public corporate bonds; advising Suqian City Hubin Metro Investment Development Co., Ltd. on the issuance of the first and second tranches of corporate bonds for 2017; advising Nanjing Lishui Urban Construction Group Co., Ltd. on its first and second tranches of debt financing for 2017; and advising Jinhu County Water Industry Investment Co., Ltd. on its 2019 non-public issuance of corporate bonds.

In terms of private equity investment, some of Mr. Zhou's representative projects include: 

  • Advising Jiangsu Kangzhong Industrial Investment Co., Ltd. and Huitongda Network Co., Ltd. on the Series A and B private equity investments; and advising Hosjoy Comfort & Smart Home Co., Ltd. on its Series B private equity investment. Mr. Zhou worked as the legal counsel for the companies in the forgoing projects;

  • Advising Shanghai Kangda Medical Equipment Group Corporation, Nanjing Changyou Sports Industry Development Co., Ltd., and Hubei Visimpact Technology Co., Ltd. on their private equity investments. Mr. Zhou worked as the legal counsel for the investors in the forgoing projects;

  • Advising Nanjing Endure Venture Investment Co., Ltd., Ningbo Star-o-Star Investment Management Co., Ltd., Jiangsu Sushang Investment Co., Ltd. and other companies on registration of private equity fund managers, and alteration of major items.

Mr. Zhou is also a regular legal counsel for several listed companies, large private companies, group companies, and foreign-invested companies, advising such companies on all legal issues related to their daily operations.

Work experience

Mr. Zhou joined King & Wood Mallesons (KWM) in 2020. Before that, he was a senior partner at the Nanjing office of a Beijing-based law firm.

Mr. Zhou was admitted to practice law in China in 2005.

Mr. Zhou's working languages are Chinese and English.
