Ms. Zhao Jingchuan specialises in cross-border M&A and other corporate matters, involving energy, agriculture, food and beverage, semiconductor, lottery and manufacturing industries.

Ms. Zhao has extensive experience in advising multinational companies on their foreign direct investment (FDI) and M&A in China. She has been involved in numerous FDI projects, where she assisted clients in developing their transaction structures, evaluating potential business partners and project locations, conducting due diligence on target companies and assets, and drafting, reviewing, revising and negotiating transaction documents.

Ms. Zhao is one of the first lawyers involved in offshore investment projects in China. She provides a wide range of services to large state-owned enterprises and private enterprises, including obtaining offshore investment approval, providing legal opinions on offshore acquisition projects, conducting due diligence on target companies, drafting transaction document and negotiating with counterparty.

Ms. Zhao also provides long-term legal services on a retainer basis to several large state-owned enterprises and multinational corporations. Her services cover corporate governance and compliance, labour matters and employee incentive plans, contract review, and other legal services in their day-to-day operations.

Ms. Zhao is admitted to practice law in both China and the State of New York.

Work experience

Ms. Zhao joined King & Wood Mallesons (KWM) in 2001.

From 2007 to 2008, she worked as a secondee in a U.S. firm’s Washington, D.C. office and KWM’s New York office respectively.

From 2013 to 2017, she was in charge of China-Australia cross-border practice in KWM's Sydney office.

Ms. Zhao obtained her LL.B degree in international economic law from the China University of Politics Science and Law, as well as an LL.M degree from the Georgetown University Law Center. Ms. Zhao is qualified to practice in the PRC and the State of New York, the United States.

Ms. Zhao's working languages are Chinese and English.
