King & Wood Mallesons (KWM) is proud to have advised Qube Bulk Pty Ltd (Qube), a wholly owned subsidiary of Qube Holdings Ltd - on its acquisition of Kalari Proprietary Limited (Kalari) from Swire Investments (Australia) Ltd.
Kalari is a specialist logistics provider to the Australian mining and resources industry, specialising in on road and remote bulk haulage. It services an array of Tier 1 customers with major mining operations, largely across Queensland and South Australia.
The acquisition will strengthen Qube’s existing local resources logistics offering, specifically through its rail and port infrastructure. It will also provide tremendous opportunity for future growth and to enter new markets and regions.
A KWM team led by Partner Adrian Perkins and Special Counsel Gareth Howe with support from Partners Mandy Tsang and Angela Weber and Senior Associates, James Southee and Sebastian Steenkamp advised on all aspects of the insured transaction.
Commenting on the deal, Adrian Perkins said:
“We’re thrilled to have supported Qube on this significant transaction, which underpins its continued growth in the resources sector and exposure to Tier 1 customers. It was a great pleasure working with the Qube team. Combining our M&A and resources and logistics sector expertise with theirs has delivered a successful outcome for Qube.”
Important aspects of the deal, driven by the KWM team, involved navigating the competitive auction process, conducting a thorough due diligence process given Kalari’s nationwide business footprint and employee base and negotiating a robust warranty and indemnity policy to manage transaction risk.
KWM is a leading adviser to clients in the Resources, Infrastructure and Transport and Logistics industries and is proud to have been able to support long standing client Qube on this deal.
