King & Wood Mallesons (KWM) has advised the Kloska Group on the sale of its service business for BHKW-modules – through sale of Thomsen & Co. GmbH (Thomsen & Co.) – to a group of investors led by the Swiss energy utility Energie 360 Grad AG (Energie 360°).
The Kloska Group, founded in 1981, is a supplier and service partner for shipping and shipyards, on-/offshore, industry, handicraft and construction industry. The group is headquartered in Bremen and comprises numerous companies which have supplemented the service profile of the Kloska Group over the years. The companies' business fields range from technical supply to engine spare parts service, connected with own repair shops, conveyor technology and hydraulics to catering, provision, technical and stores deliveries for ferries, cargo vessels, cruise ships, research vessels and research stations.
The subsidiary Thomsen & Co. in Beesten, founded in 2007, trading under the well established name EPS (Engine Power Systems), operates the service business for BHKW-modules of the Kloska Group. Besides the sale of new and used BHKW-modules in various performance classes, Thomsen & Co. offers comprehensive services in the field of gas engines, BHKW-modules and cogeneration plants. In addition to the common maintenances, troubleshooting and repair work the company conducts complete inspections of engines and BHKW-modules in the own workshop or directly on the spot. For gas engines from 40 to 3000 kW (electrical) the complete range of services is offered.
Energie 360°, headquartered in Zurich, is a Swiss stock corporation which, among other things, acts as an energy supplier for the city of Zurich and has a strong focus on renewable energies. In addition to natural gas and biogas, the company also offers solar energy and wood pellets as well as energy and grid services. In Germany, Energie 360° already has a presence through a 50% stake in Energas GmbH, which – especially in southern Germany – offers a similar range of services to Thomsen & Co. With the acquisition of Thomsen & Co., Energie 360° complements its investment portfolio and expands its activities to Northern and Eastern Germany.
After closing, Thomsen & Co. will continue as an independent company. The transaction is subject to merger control.
