KWM advises Wollar Solar Holding on its proposed acquisition of TPC

King and Wood Mallesons (KWM) is pleased to have advised Wollar Solar Holding Pty Ltd (WSH) - a member of the Beijing Energy Group (BJEI Australia) – on its entry into a Scheme Implementation Agreement under which WSH proposes to acquire TPC Consolidated Limited (TPC) by way of a scheme of arrangement.

WSH was established by BJEI Australia in 2021 to build and operate a significant portfolio of clean energy projects throughout Australia.

KWM is acting as legal adviser to WSH on the transaction, with the team led by Partners David Eliakim, Roderick Smythe, Malcolm Brennan and Scott Heezen with support from Senior Associates Samuel Higgs, Aaron Brooks, Abby Mu, Claudia Hollings and Victoria Lanyon.

Commenting on the deal, Partner Roderick Smythe said:

“We’re delighted to be supporting WSH on this transaction. The entry into the Scheme Implementation Agreement is a significant milestone for WSH and the BJEI Australia group. We are also excited about the opportunities this transaction will bring for the energy sector.”

Subject to TPC shareholder approval, implementation of the scheme is anticipated to occur in the third quarter of 2024.
