Tony Jacobsen

Tony Jacobsen has a broad capital markets and general corporate practice with over 20 years of experience in the legal and financial sectors.

Tony has extensive experience advising on securities, in particular advising on initial public offerings (IPO) for both issuers and sponsors on the Hong Kong Exchanges and Clearing Limited (“HKEX”). He also has relevant experience acting for Hong Kong-listed companies on their ongoing compliance obligations under Hong Kong securities legislation and rules.  Another focus of Tony’s practice is advising on mergers and acquisitions transactions involving PRC companies (both public and private).

Prior to joining the firm, Tony served at the IPO Vetting department of the HKEX in the capacity of Senior Vice President. He acted as the main reviewer for new listing applications on both the Main Board and GEM, and also handled pre-IPO enquiries and policy-related matters.

During his tenure at a number of international law firms, he led and completed several award-winning transactions recognised by notable publications including FinanceAsia, IFR Asia, Asiamoney, and Asian-mena Counsel. He was previously recognised as a leading capital markets lawyer by IFLR 1000.

Admitted as a solicitor in Hong Kong, Tony is fluent in Cantonese, English, and Mandarin.

Relevant Experience

Equity capital markets – IPO and Fundraising Transactions*

  • Advised CJ CGV on the US$286 million pre-IPO investment in its wholly-owned subsidiary CGI Holdings Limited by MBK Partners and Mirae Asset Daewoo
  • Assisted a listing applicant in successfully overturning the original rejection decision by the Listing Committee of the HKEX
  • Acted for Sinopharm Group Co. Ltd., the largest pharmaceutical products distributor in the PRC, in its H Share placement raising approximately HK$3.4 billion
  • IPO of Sunshine 100 China Holdings Ltd. on the Main Board, acted as counsel to the company
  • IPO of Shunfeng Photovoltaic International Limited (now renamed as Shunfeng International Clean Energy Limited) on the Main Board, acted as counsel to the company
  • Acted for Bank of Communications Limited in its RMB33 billion rights issue on both the Shanghai Stock Exchange and the Hong Kong Stock Exchange. This deal was awarded “Deal of the Year” in 2010 by Asian-MENA Counsel and “Deal of the Year” in 2010 by China Business Law Journal
  • IPO of Sinopharm Group Co. Ltd. on the Main Board, acted as counsel to the company. This deal was awarded “Best IPO of the Year” in 2009 by FinanceAsia, “Equity Deal of the Year” in 2009 by IFR Asia and “Asia’s Best Deal of 2009: IPO” and “China Deal of the Year” in 2009, both by Asiamoney
  • Acted for Danone Asia Pte. Ltd., in its strategic investment in and subsequent disposal of such investment in China Huiyuan Juice Group Limited, which is listed on the Main Board
  • Acted for China Shipping Container Lines Company Limited, the 2nd largest container shipping company in the PRC, in relation to its A share listing on the Shanghai Stock Exchange
  • IPO of Shanghai Jin Jiang International Hotels (Group) Company Limited on the Main Board, acted as counsel to the company
  • IPO of China Shipping Container Lines Company Limited on the Main Board, acted as counsel to the company. This deal was one of the top five IPO deals in Hong Kong in 2004
  • Global secondary offering and asset injection from parent for China Mobile (Hong Kong) Limited in 2000, acting as counsel to the underwriters, China International Capital Corporation Limited, Goldman Sachs (Asia) L.L.C. and Merrill Lynch & Co.
  • IPO of M21 Technology Limited on GEM, acted as counsel to the company
  • IPO of iSteelAsia.com Limited on GEM, acted as counsel to the company
  • IPO of Hang Fung Gold Technology Limited on the Main Board, acted as counsel to the company
  • IPO of Chun Tai Holdings Limited on the Main Board, acted as counsel to the company
  • IPO of K & P International Holdings Limited on the Main Board, acted as counsel to the company
