Sam Farrands is a projects specialist, with extensive experience advising developers, contractors, financiers and governments on major projects and privatisations throughout Asia.

Dealing primarily in the infrastructure, energy, water and wastewater sectors, Sam has led landmark projects and privatisations in Africa, Hong Kong, India, Indonesia, Malaysia, Mongolia, Pakistan, the People's Republic of China, the Philippines, Taiwan and Thailand.

Sam also has a reputation as an expert in public private partnerships (PPPs). He drove Hong Kong's first PPP project, advising the successful consortium to build the new HKD2.3 billion international exhibition centre at Chek Lap Kok airport. He also led the winning SkyCity Hotel consortium PPP bid.

Sam is highly respected as a leading lawyer across his field in numerous industry guides. Most recently, he was recognised as a leading lawyer in Energy and Infrastructure as well as Project Development by IFLR1000 2018. He was also ranked a leading lawyer in Projects and Infrastructure/Energy by Chambers Asia Pacific 2017, Legal 500 Asia Pacific 2017 and IFLR1000's Energy & Infrastructure Global Network 2017.

Relevant Experience

  • Dragages et Travaux Publics (HK) Ltd: advising on its successful tender for the new International Exhibition Centre at the Hong Kong International Airport. The contract, with the Government of the Hong Kong SAR and the Airport Authority, was to design, develop and operate for 25 years the HKD2.3 billion Exhibition Centre, Hong Kong's first major Public Private Partnership.
  • Dragages and Shun Tak consortium: advising on their successful bid for the right to design, construct, develop and manage the SkyCity Hotel at the Hong Kong International Airport. Our role involved advising on the structure of the consortium, the tender documents (including the Agreement for Sub-Lease and the Sub-Lease), tender strategy, the structure of the proposed financing and all agreements with the hotel operator.
  • Confidential client: advising on all aspects of the Hong Kong Government's tender process for the right to develop and operate the multi-purpose sports complex to be built at the site of the original Kai Tak Airport. The sports complex will include a 50,000 seat stadium with a retractable roof and it will be Hong Kong's largest and most complex PPP project to date.
  • The successful bidder: advising on the HKD4.1 billion Ocean Park Marriott Hotel PPP Project. Work included advising on the tender process and negotiation of the various hotel management agreements with Ocean Park and negotiation of the various hotel management agreements with Ocean Park Corporation and the developer Lai Sun Development. The 495-room hotel's construction cost is estimated at HKD2.5 billion.
  • West Kowloon Cultural District Authority in Hong Kong: advising in relation to the consultancy study to recommend suitable organisational structures and roles of key staff of the West Kowloon Cultural District Authority during the three stages of the development of the 40-hectare West Kowloon Cultural District Project, i.e. planning, construction and operation stages.
  • Leighton: advising in relation to its USD35 million financing with the European Bank for Reconstruction and Development. The purpose of the financing was to fund the development of Leighton's contract mining project in Mongolia and the supporting infrastructure for that project. We advised Leighton in relation to all aspects of the transaction, including drafting and negotiation of the loan agreement and guarantee and support deed.
  • PetroChina International: advising on all aspects of its development of terminals for procurement of LNG into China from a number of sources (including from South Pars gasfield in Iran which was developed by a consortium led by Total). The work included advising on coordination of the discreet aspects of the overall project, drafting and advising on the LNG SPAs and the upstream, downstream and shipping arrangements for the project.
  • Las Vegas Sands: advising in relation to its USD12 billion Cotai Resort development, which features major hotels, casinos and entertainment facilities along 'The Cotai Strip' in Macau. Our role has included advising on both the development of the overall integrated resort plan and the design and construction of individual integrated hotel/retail and associated infrastructure facilities.
  • Marriott International: advising in relation to the Marriott Courtyard Shatin Hotel Project, Marriott Galaxy Hotel Project in Macau, the largest Marriott branded hotel outside the United States, being the Beijing City Wall Marriott Hotel, spitting it into two and converting rooms into serviced apartments, its Courtyard Hotel brand throughout Australia, including the implementation of the franchising arrangements in the first two cities of Melbourne and Perth, the Marriott Hotel and an Autograph Collection Hotel in Petaling Jaya in Malaysia, the Marriott Hotel in Kota Kinabalu, Malaysia, various Fairfield by Marriott International hotels in Thailand, a Marriott Hotel in Hanoi, Vietnam and a Courtyard by Marriott Hotel in Seoul, South Korea.
  • Hong Kong Hospital Authority: advising on a Hong Kong-wide variety of matters, including in relation to drafting and preparing of numerous agreements and contracts for major procurement, outsourcing, development, employment, management, goods and services, and insurance policies.
  • Rio Tinto / Ivanhoe / Oyu Tolgoi LLC: advising on the power purchase arrangements for its USD3 billion mine in Mongolia. Our role has involved drafting and negotiating the power purchase agreement, and advising on financing arrangements and procurement of the infrastructure to deliver the power from the PRC to Mongolia.
  • The Provincial Water Authority of Thailand (PWA) and the World Bank: advising on the privatisation of PWA of Thailand.
