Cynthia Tan is a Registered Foreign Lawyer (New York, USA) in the Hong Kong office. She focuses on debt & equity capital markets, mergers and acquisitions (M&As), corporate finance and securities, and a variety of corporate matters. Cynthia has experience in transactions in Hong Kong, the United States, South East Asia and India.

Cynthia has advised issuers and underwriters on debt and equity offerings, including registered public offerings, private offerings, issuances of convertible, high-yield and exchangeable debt securities, as well as liability management transactions. She has also advised on public and private M&As, debt restructuring and tender offers involving repurchase of securities, financing by way of syndicated financing for specific acquisitions and issuance of listed convertible bonds for acquisition of assets, as well as secondary equity fund raisings (including rights issues and convertible securities). She has handled compliance and corporate governance matters under Hong Kong and U.S. securities laws and regulations, including Hong Kong Listing Rules, ’33 Act and ’34 Act, NYSE/NASDAQ listing rules, Sarbanes-Oxley Act, and FCPA.

Cynthia is admitted as a solicitor in Singapore, England & Wales and New York. She graduated from National University of Singapore with a Bachelor of Laws degree (Honours). Cynthia is proficient in English, Mandarin and Cantonese.
