Ms Yang focuses on dispute resolution in civil and commercial areas, especially securities compliance, securities litigations and corporate litigations, etc. where she has extensive experiences.
Ms Yang is an expert in securities compliance and securities litigation. She used to represent dozens of listed companies, their directors, securities brokers, as well as domestic and foreign investment institutions in CSRC’s enforcement cases and disciplinary proceedings before stock exchanges where they were accused of committing misrepresentation, insider trading, market manipulation, “rat trading”, illegal increase/decrease in share-holding, short-term trading and breach of fiduciary duty by intermediaries. Ms Yang can provide her clients with one-stop legal services, ranging from securities compliance crisis management, representation in administrative penalty hearing and reconsideration procedures, internal control mechanism building, internal training and self-improvement. Ms Yang also obtained several favorable results for listed companies, securities brokers and their senior management in civil litigations brought by investors for compensation based on misrepresentation.
Ms Yang also has a profound understanding and rich experiences in complex corporate disputes. Ms Yang used to represent clients in dozens of complex corporate disputes relating to corporate funding, the validity of corporate resolutions, transfer of shares, corporate controlling right, liability of directors, supervisors and senior management, and M&A, ect. In the field of investment, finance, funds and asset management, Ms Yang has wide experiences in dealing with the disputes relating to the VC/PE investment, bond default, VAM, share repurchase, fund dividends, breach of partnership agreements and exit of funds. Ms Yang also dealt with hundreds of other types of commercial disputes before domestic courts, and domestic and foreign arbitration institutions.
Ms Yang joined KWM in 2010. She obtained a bachelor’s degree in law from China University of Political Science and Law, and a Master’s degree in law from Peking University.
Ms Yang’s working languages are Chinese (Mandarin) and English.
