Ms. Song specializes in trusts, asset management, asset securitization, private equity, mergers and acquisitions and general corporate matters.
Ms. Song has excellent and abundant experiences in the area of trust and asset management. Since 2009, her practice in the area of trust has covered a full range of product structures, transaction structures and investment targets, as well as emerging areas such as charitable trusts and family trusts. She provides legal services for CR Trust, Ping An Trust, Zhongrong Trust, Yuecai Trust and similar companies. Ms. Song is also well experienced in the asset management area conducted by securities companies and subsidies of public fund companies, and investment of insurance funds. She has represented Dongxing Securities, Harvest Capital, CFII, China Insurance, Evergrande Life Insurance, and China Merchants Insurance among others. In addition to providing legal services for financial institutions, Ms. Song has represented many non-financial clients for risk analysis, structure discussion, document review, negotiation and disputes resolution.
Furthermore, Ms. Song has extensive experiences in asset-backed securities, asset-backed notes (including overseas clients’ investment in ABNs through Bond Connect), transfer of credit assets and rights to earnings thereon through Yindeng Center. She has provided legal services for Wanda, CMSK, Lexin, Industrial Bank, China Merchants Bank, Bank of Dongguan, and WeBank among others.
She is also well experienced in the establishment, filing, investment and exit of private equity funds and contractual funds, and the registration of managers of and service providers for private equity funds. Ms. Song has represented clients in this area such as China Merchants Capital, China Merchants Sino-BLR Capital, CMK Capital, China Merchants Zhiyuan Capital, CMB International Capital, Vanke,Vanke Logistics, CR Land, and Essence Securities.
Ms. Song has successively represented domestic clients in many inbound and outbound M&A deals as well as foreign clients’ M&A deals in China. She provides legal services for Sino-Ocean Land, Vanke, CR Land, CR Ng Fung, CR Cement, and ZTE. Ms. Song also provides legal services for capital market, she led the project of the stock-for-stock merger of China Merchants Property Development Co., Ltd. by China Merchants Shekou Industrial Zone Holdings Co., Ltd.
Ms. Song joined King & Wood Mallesons in 2019. Prior to joining the firm, she was a partner at an outstanding Chinese law firm and became a partner in 2017.
Ms. Song graduated from Wuhan University in 2003 and obtained a Bachelor’s degree in Law, and then graduated from Utrecht University with a Master’s degree in International Business Law in 2007.
Ms. Song qualified as a Chinese lawyer in 2009.
Ms. Song’s working languages are Mandarin and English.
