Centurium Capital’s over US$300 million investment into ANE Logistics

In March 2020, Centurium Capital completed an investment of over US$300 million into ANE Logistics (ANE), a leading less-than-truckload trucking logistics company in the PRC.

Centurium Capital is a leading private equity investment firm in the PRC with a focus on private equity investments for controlling or major minority stakes in the consumer, service and healthcare sectors. Centurium Capital’s recent investments include Luckin Coffee, China Biologic Products, LOHO, and Zhang Tong Jia Yuan. ANE is a leader in logistics, with a specialized less-than-truckload logistics network in the PRC.

King & Wood Mallesons (KWM) advised Centurium Capital on both Hong Kong and PRC law aspects of the transaction. Our team led the legal due diligence and the drafting and negotiations of numerous transaction documents, representing Centrium Capital in multiple rounds of negotiations with ANE and various investors to ensure a timely closing of the transaction.

This transaction was led by Helena Huang.

Helena Huang said, “In this transaction, the team advised on a variety of legal issues ranging from cross-border private equity investment and listing-related securities matters to tax and compliance. The successful closing of this matter demonstrates KWM’s strength in offering cross-jurisdictional ‘one-stop-shop’ legal advice, and our ability to play a key role in assisting our clients with their complex private equity transactions.”
