Directions 2013: Current issues and challenges facing Australian directors and boards

Australian directors are increasingly facing an identity crisis. This Report focuses primarily on the legal and regulatory issues which are reshaping the role, and expectations for the role, of the director in 2013. The Report begins with an analysis of the key areas of disconnect – the “expectation gap” – between the perception held by some sections of the government, the Courts and the public as to the proper role of directors, and how directors perceive their role. It then moves to consider the regulatory landscape and issues which are shaping the dialogue with respect to the role of directors.
