Ms. Tang Yiyun advises international and Chinese corporations, as well as local governments, on a diverse range of matters, including cross-border investment and strategic M&A, debt restructuring and judicial reorganization, industrial restructuring and integration, corporate governance and compliance for state-owned enterprises (SOEs), risk-mitigation investment of financial institutions.

Ms. Tang has extensive experience in integration and M&A, debt restructuring, asset restructuring, and financing involving major SOEs and private enterprises across various industries, including infrastructure and transportation, chemicals and energy, and healthcare. Ms. Tang's representative transactions include: debt restructuring of local chemical groups, reform and restructuring of local SOE groups, transformation and debt restructuring of local urban investment companies, domestic and international due diligence and integration of local private enterprise groups, the merger of Dalian Port (PDA) Company Limited with Yingkou Port Liability Co., Ltd. through share swap and corresponding fund raising, the public offering of corporate bonds by Liaoning Port Co., Ltd., the judicial reorganization of Dandong Port Group and its affiliates, the debt-to-equity swap and capital increase of Yingkou Port Group Corp., the integration and acquisition of Liaoning Port Group by China Merchants Group, and the investment and restructuring of Zhanjiang Port (Group) Co. , Ltd by China Merchants Port.

With over two decades of experience in cross-border investments, restructuring, and disposal transactions, Ms. Tang provides all-round legal services to clients involved in dynamic cross-border transactions. Her services include designing investment strategy and structures, coordinating overseas due diligence, drafting and negotiating transaction documents, coordinating collaboration and communication among domestic and international stakeholders, and assisting in advancing government approvals and transaction closing. Notable transactions include HNA Technology's sale of its overseas major asset, the American company Ingram Micro; Career International's major asset acquisition of the British company Investigo; Ping An Overseas Holdings' sale of Yihaodian to Wal-Mart Stores, Inc. and the acquisition of Fullerton Guarantee from Temasek Holdings; Shanghai Jin Jiang International Hotels Development Co., Ltd.'s acquisition of Plateno Group; a state-owned pharmaceutical group's acquisition of a Hong Kong-listed company; and a SOE's acquisition of an overseas port terminal.

Ms. Tang also brings a wealth of experience advising insurers and financial institutions on risk resolution, M&A, compliance, corporate governance, etc. Her representative transactions include local urban commercial banks’ risk resolution and due diligence compliance, China Pacific Insurance (Group) Co. Ltd.'s issuance of GDRs and listing on London Stock Exchange, Carlyle's investment in China Pacific Life, the acquisition of Chongqing Commercial Bank by Carlyle and Dah Sing Bank, Fosun International Limited's acquisition of overseas insurance companies and financial institutions, the establishment of life insurance joint venture by New York Life Insurance and Qingdao Haier, Citibank's strategic cooperation with Shanghai Pudong Development Bank.

Ms. Tang also provides local governments and SOEs with legal research and consulting services on the transformation of urban investment companies, local debt resolution, industrial park operation, industrial development policies, and compliance in investment promotion.

In the area of domestic and overseas private equity investments, Ms. Tang has advised renowned domestic and international private equity and venture capital institutions, as well as their founders on domestic and international financing.

Over the years, Ms. Tang has remained committed to her legal practice while also being regularly invited as a keynote speaker and panelist at forums, seminars, training programs and workshops on M&A and restructuring and SOE compliance. She is widely regarded as a trusted and reliable counsel.

Work experience

Ms. Tang rejoined King & Wood Mallesons (KWM) in 2017. She served as an in-house compliance counsel at the Shanghai Branch of Tokio Marine & Nichido Fire Insurance Co., Ltd. before she practiced at KWM from 2002 to 2005. Later on, she worked at Linklaters, Morrison & Foerster and DLA Piper from 2005 to 2017.

Ms. Tang received her LL.B. from East China University of Political Science and Law in 2001.

She was qualified to practice law in China in 2002, and is also qualified to practice law in England and Wales.
