Mr. Liu specializes in dispute resolution in the capital market, with a focus on disputes over corporate equities, acquisition of non-performing assets, and various complex financial disputes concerning cross-border finance, bonds and fund.

Mr. Liu has handled matters related to mergers and acquisitions, corporate financing and anti-hostile takeover for many listed and to-be-listed companies, and has represented companies in hundreds of disputes over corporate control, equity transfer, damage to corporate interests, equity incentive plans, and shareholders' right to information.

Mr. Liu is skilled at structuring overall strategies guided by clients’ business goals and thereby systematically resolving complex disputes by integrating litigation, arbitration and non-litigation methods. Mr. Liu once represented a subsidiary of a Hong Kong listed company in resolving a dispute with minority shareholders concerning damages to corporate interest, and eventually won the case with plaintiffs withdrawing their complaints. This case was chosen as one of the bulletin cases published by the Supreme People’s Court of PRC in 2020.

Mr. Liu has extensive experience in non-performing asset financing, acquisition, and litigation matters, attaining reorganization by means of bankruptcy restructuring, corporate takeover, litigation and arbitration, criminal prosecution, etc. He once represented a large state-owned investment company and successfully achieved debt restructuring and capital recovery for more than 1 billion RMB within one year. He also represented a listed real estate enterprise to complete asset disposal procedure for 1.4 billion RMB within six months.

Mr. Liu has also represented domestic and foreign financial institutions in multiple cross-border litigation and arbitration cases. The financial disputes that Mr. Liu has handled include disputes over financial leasing, financial derivatives, margin accounts, factoring, credit insurance, etc. He has represented large state-owned banks in dealing with financial derivatives disputes which drew great attention from the market. He once represented the case was promoted as a demonstration case of the identification of extraterritorial laws in 2020 by Guangdong High Court, published in a report on News of Shenzhen Special Economic Zone on February 5, 2021, and later introduced in "Bay Area Law Viewing", a famous program broadcasted on Pearl River Channel.

Work experience

Mr. Liu joined KWM in 2014. Prior to that, Mr. Liu worked in a large state-owned enterprise.

Mr. Liu received his Bachelor of Law degree and Master of Law degree from China University of Political Science and Law.
