Mr. Chen Fuan specializes in the practice areas of securities, corporate and M&A.

Mr. Chen has extensive experience in securities, advising on numerous Chinese enterprises' domestic and overseas listing projects, including the domestic listings of Neway Valve, Hile Bio-Technology and Hengli Highpressure Oil Cylinder, as well as the overseas listings of Huahong Semiconductor and BBI Life Sciences. Reflecting on his familiarity on the traditional domestic and overseas IPOs in the securities market, Mr. Chen also focuses on the capital operation and corporate governance from a company's growth stage to its longer period after its IPO. Moreover, Mr. Chen made valuable contribution in the area of debt financing advising on a number of corporate bond issuance and financing projects, which includes convertible bonds, corporate bonds, corporate debt, financial bond, medium-term note and short-term financing bonds. Mr. Chen has also provided his solid and professional legal service and innovative insights to clients in relation to their securitization projects, which include commercial real estate rental income, financial leasing rental income and manufacturing enterprises' accounts receivables, winning high appraisals from clients.

In the corporate practice area, Mr. Chen has provided legal service and advice on the establishment of enterprises, shareholding structure setting, long-term partnership schemes and equity incentive plans. Additionally, he has acted as the perennial legal counsel for a number of listed companies and non-listed companies (including large scale SOEs, private enterprises and foreign-invested enterprises), advising on all aspects of their daily operations including major contracts review, investment projects review, legal trainings for staff and compliance system construction. His clients are from a range of sectors, involving high-end manufacturing, Internet big data and cultural communication. In M&A, Mr. Chen has participated in the merger, restructuring and acquisition projects of a number of enterprises, such as Jinjiang International, Neway Valve and Zhaojin Mining. 

Work experience

Mr. Chen joined King & Wood Mallesons in 2007. He graduated from East China University of Political Science and Law and University of Manchester, and was admitted as a PRC lawyer in 2010.
