Zhang Ying specialises in venture capital and private equity, capital markets, and M&A.

Ms. Zhang understands the legal needs of companies in their financing and capitalisation process. She has assisted advanced manufacturers and high-tech companies in equity financing, and provided full-cycle legal services in corporate governance, domestic and overseas listing and related M&A. In the securities and capital markets, Ms. Zhang has represented many Chinese companies in completing their IPOs on the A-share market, significant asset restructurings, as well as listings or secondary listings on major overseas exchanges, and other large-scale or complex projects or transactions that have attracted attention in the market. In addition, she has also represented well-known foreign or domestic equity investment institutions in minority equity investments, joint ventures, privatisations, and PIPE investments in Chinese companies. She assists them in designing transaction structures or restructuring plans, engaging in post-investment management, and planning exit strategies. She provides clients with full-stack legal services.

Ms. Zhang serves a broad range of clients, including multinational corporations, leading listed companies, renowned RMB and USD investment institutions, and startups or rapidly growing private companies in various industries or sectors, such as advanced manufacturing, renewable energy, new materials, internet, TMT, information technology, consumer goods, biotech, and healthcare and pharmaceuticals.

Ms. Zhang concurrently serves as a master's supervisor at the Law School of Southwest University of Political Science and Law.

Ms. Zhang was included in The A-List by China Business Law Journal in 2023.

Work Experience

Ms. Zhang joined King & Wood Mallesons in 2014.

Ms. Zhang received her BA from Dalian University of Foreign Languages and her Master of Laws degree from Renmin University of China.

She is qualified to practise law in the PRC, and also qualified to take on roles as a secretary of the board of directors of the Shenzhen Stock Exchange and an independent director.

Ms. Zhang’s working languages are Chinese, English and French.
