With over two decades of experience, she excels in handling major, complex financial and commercial disputes, including cases involving both criminal and civil matters. She has successfully handled over a thousand financial and commercial disputes.
Corporate securities related commercial disputes and criminal-civil crossover cases
Ms. Wang regularly deals with disputes related to corporate securities and capital markets, including securities redemption, bond trustee liabilities, false statements in securities, insider trading, guarantee arrangements in private placements, stock pledge repurchase, nominee shareholding, valuation adjustment mechanisms (VAM), buybacks, corporate control disputes, liabilities of directors, supervisors and senior management, shareholder contributions, equity transfers, piercing the corporate veil, and structured bond issuance and trading.
Disputes in trust, fund, banking, venture capital and other financial asset management, investment and financing sectors
Ms. Wang has a robust track record in resolving notable disputes involving fund and trust income distribution, manager and custodian liabilities, share redemption, exits from investments in underlying equity/debt/real estate/securities, deficiency compensation, over-the-counter financing, and dissolution and liquidation. She is also experienced in the resolution of traditional financial disputes, including those involving guarantees, factoring, letters of credit, independent guarantees, financial leasing and negotiable instruments, as well as new financial disputes related to asset securitisation, supply chain financing, and repurchase and transfer of various income rights.
Commercial disputes and criminal-civil crossover cases in real estate investment and financing
Ms. Wang regularly represents clients in disputes related to real estate equity and debt investments, bank financing, real estate mortgages and transfer guarantees, pledge of receivables from various projects, and project construction. In recent years, amidst the turbulence in the real estate industry, Ms. Wang has handled dozens of real estate disputes. She is also extensively involved in negotiations regarding the extension of financial bonds for real estate enterprises, disputes over guarantee arrangements in private placements of listed companies, overseas takeovers, domestic debt inventory and restructuring, liabilities of directors, supervisors and senior management, regulatory investigations, and criminal-civil crossover matters.
Pioneering legal achievements (including landmark Hong Kong arbitration cases)
Several cases represented by Ms. Wang have set domestic or industry precedents, including:
- Representing a well-known Japanese brokerage firm in the first domestic case concerning QFLP fund dividends and judicial liquidation dispute, achieving a complete victory in Hong Kong arbitration;
- Representing a listed company in the first domestic case involving disputes over the termination of its contractual fund agreements and equity return, securing a full victory;
- Representing a wealth management company in multiple over RMB 3 billion investment disputes in fund, stock and bond management, introducing Shanghai’s first special procedure for collateral in stock pledge repurchase transactions;
- Assisting over 20 foreign financial institutions in establishing China’s first foreign creditors’ committee for domestic creditors to address debt exceeding RMB 1 million, and effectively resolving the debt crisis;
- Representing over 20 foreign financial institutions in Hong Kong arbitration proceedings, obtaining Shanghai’s first domestic property preservation order with a record-high value and the most entities;
- Assisting a listed company in completing China’s first judicial restructuring and settlement project for bonds;
- Securing the first award from the Shanghai Financial Court for the recognition and enforcement of an HKIAC arbitration award;
- Representing a renowned international bank in over 10 cases concerning the Qingdao Port dispute (involving dozens of domestic and foreign banks with disputes amounting to tens of billions of yuan); and
- Representing a prominent international private equity fund in over 10 bond and warrant disputes totalling more than RMB 5 billion and spanning the United States, the Cayman Islands, China’s Mainland and Hong Kong SAR, leading to the first foreign law determination case in Shaanxi Province and the first parallel and repetitive litigation case in China.
Two cases represented by Ms. Wang were recognised among the Top 10 Cases of 2021 by the Shanghai Financial Court.
Professional Contributions and Recognitions
Ms. Wang has been invited to participate in the drafting of the Development Report of China Asset Custody Industry issued by the China Banking Association. She has authored several books on corporate securities, financial asset management, and civil litigation, among other fields. She has published more than 60 professional articles, many of which have been featured in authoritative national journals and indexed on platforms including PKULaw and Wolters Kluwer.
Ms. Wang also serves as an arbitrator of the Shanghai International Economic and Trade Arbitration Commission and the Shanghai Arbitration Commission. She is also a trust registration lecturer for China Trust Registration Co., Ltd., a specially invited lecturer for the China Banking Association, and a training instructor for the Master of Laws program at East China University of Political Science and Law.
Her excellence has been recognised with numerous awards, including the “2021 ALB China Top 15 Litigators”, the “2023 Dispute Resolution Lawyer of the Year: East China”, and the “Outstanding Female Lawyers of Changning District, Shanghai”. She has extensive experience handling cases in courts and arbitration institutions across China, as well as in international arbitration centres such as the Hong Kong International Arbitration Centre and the Singapore International Arbitration Centre.
