Areas of practice

Mr. Jiang Conghua specializes in corporate investment, financing, mergers and acquisitions, private equity investment, trust and state-owned enterprise reform, and other non-contentious areas, as well as civil and commercial litigation, administrative litigation, and the prevention and defense of economic crimes.

Mr. Jiang has practiced law for more than 20 years, focusing on the overall plans (including mergers and acquisitions, and capital operation), legal structures and risk control plans for investment and financing; the benefit structure, legal framework, and risk control for family assets inheritance; and the overall risk prevention for companies and their shareholders and executives, including overall solutions that involve civil and commercial law, administrative law and criminal law, especially proxy-based authorization mechanisms, incentive plans, and the design of equity structure and corporate structure based on corporate control. Mr. Jiang serves as counsel for government, government departments, industry associations, large companies and listed companies. His client base ranges from banking, trust, energy, transportation, utilities, telecommunications, media to real estate.

Mr. Jiang has extensive experience in non-contentious areas. He advised on many projects, including: acquisition of a trust company and a securities company;  backdoor listing of a state-owned real estate holding group; indirect acquisition of a listed company in the ocean shipping business; design of many private funds, trust products and asset management plans; design of various types of real estate projects in the first and second tier cities, including projects concerning land development and construction (commonly known as "level one and level two joint development" 一二级联动开发), joint investment and mergers and acquisitions in shanty area reconstruction, acquisition of wholly foreign-owned projects, and acquisition of demolition projects.

In contentious areas, Mr. Jiang handled many important, difficult and complicated civil and commercial cases, and represented clients in administrative litigation concerning approval, establishment and planning for project investment. Many of the cases were exemplary and were included as classic cases by provincial and national courts. He successfully handled a number of criminal cases concerning abuse of power and disrupting market order. Many of the cases were ground-breaking and first of its kind in China or applicable provinces, and were included in the collection compiled by provincial or national courts.

In 2010, Mr. Jiang was granted an "Outstanding Contribution to the Economy Award" by the People's Government of Zhejiang Province.

Work experience

Mr. Jiang rejoined KWM in 2016. Prior to that, he transferred to KWM from Shanghai Allbright Law Offices in January 2013. Before practicing law, Mr. Jiang worked as a teacher in Zhejiang University and the CEO of a domestic A-share listed company.

Mr. Jiang is vice chairman of the Zhejiang Law Society Financial Law Research Association and director of its Bank and Trust Law Committee. He was an expert on the Hangzhou IPO Consultant Panel, a member of Zhejiang legislative think-tank. He was appointed as special inspector of Politics and Law Committee of Zhejiang Provincial Communist Party Committee, served as distinguished professor, visiting professor, and practice supervisor for Zhejiang University Law School, Zhejiang University of Technology Law School, and Zhejiang University City College Law School.

Mr. Jiang graduated from Jilin University Department of Law with a BA degree in law 1985, and from Jilin University Graduate School of Law with a MA degree in law in 1991. He obtained a Doctor of Business Administration (DBA) degree from City University of Hong Kong in 2015. He was admitted as a PRC lawyer in 1994.
