King & Wood Mallesons (KWM) has advised Brickworks Limited on the acquisition of Glen-Gery, America's fourth largest brick-maker, for AU$151 million.
The transaction marks the first major offshore acquisition for the listed Australian entity. Glen-Gery will provide Brickworks entry into the large US market and long term growth opportunities in a major global market.

KWM coordinated the due diligence, organised the US R&W insurance arrangements and helped draft and negotiate the New York law stock purchase and transition services agreements. US law support was provided by Morgan Lewis.

The KWM deal team was led by Partner David Friedlander and Special Counsel Matt Egerton-Warburton, who were supported by Jo Ruitenberg, Mandy Tsang, Scott Bouvier and Lauren D'Ambrosio.

"While a large percentage of our M&A transactions involve inbound acquisition of Australian companies and assets, we love supporting strong Australian companies making acquisitions offshore," said Matt.

Also commenting on the deal, David said: "We are pleased to have advised Brickworks on this significant acquisition, and to assist with their expansion into the United States via an established and market-leading manufacturer."
